This Mutual Non-Disclosure Agreement is entered into as of the date electronically executed, between Haven Rock Solutions LLC (Wyoming LLC, EIN 99-4163069, Matthew Frank Brodacki, Founder) and the Recipient identified below.

Purpose

To explore a potential licensing relationship for Work Raptor™ adaptive camouflage and related IP. Each party may share confidential information in connection with this evaluation.

Confidential Information includes

• Pattern designs, renders, and artwork for all Work Raptor™ variants
• Pattern formula, construction methodology, biological derivation process
• Business plans, financials, pricing, and deal terms
• Patent applications, copyright, trademark, and related IP documentation

Obligations

Each party agrees to hold the other's information in strict confidence, not disclose to third parties without consent, and use solely for the evaluation purpose above.

IP Notice

Nothing herein grants any license. All IP remains property of its owner. Haven Rock Solutions' IP: Patent #64/066,038 (filed 05/14/2026), Copyright #1-15166859811, Trademark WORK RAPTOR™ #99839168.

No Reverse Engineering

Recipient agrees not to reverse engineer the pattern formula, construction methodology, or biological derivation process from any shared materials.

Term · Governing Law · Remedies

Three (3) years from execution. Trade secret obligations survive. Wyoming law governs. Breach may cause irreparable harm; injunctive relief available.
